By registering as a Merchant, you represent that you are authorized to act on behalf of the business entity you represent.
3. Account Registration
Merchants are required to create an account to access certain Services.
You agree to:
provide accurate, complete, and up-to-date information;
maintain the confidentiality of your login credentials;
notify us immediately of any unauthorized use of your account.
You are responsible for all activities conducted under your account.
4. Use of Services
You agree not to use the Services to:
violate any applicable law or regulation;
infringe the rights of others;
distribute malware, spam, or harmful content;
engage in fraudulent, deceptive, or abusive activities.
We reserve the right to suspend or terminate access if misuse is detected.
5. Merchant Responsibilities
Merchants are solely responsible for:
the content, products, and services offered through their stores;
compliance with applicable laws, including consumer protection, tax, and data protection laws;
providing accurate information to end customers.
TopVIPShop does not endorse or guarantee any merchant products or services.
6. Payments and Subions
Certain Services may require payment of fees or subion charges.
All fees:
are stated exclusive of applicable taxes unless otherwise specified;
are non-refundable unless required by law or expressly stated.
We may modify pricing or subion plans with reasonable prior notice.
7. Third-Party Services
The Services may integrate or link to third-party services (including payment gateways, logistics providers, or analytics tools).
TopVIPShop is not responsible for:
the availability, performance, or content of third-party services;
any loss or damage arising from your use of third-party services.
8. Intellectual Property
All intellectual property rights in the Services, including software, trademarks, logos, and content, belong to TopVIPShop or its licensors.
You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.
9. Data Protection and Privacy

Merchants acknowledge that TopVIPShop acts as a data processor for end-customer data processed on behalf of merchants.
10. Suspension and Termination
We may suspend or terminate your access to the Services if:
you breach these Terms;
required by law or regulatory authorities;
continued use poses security or legal risks.
You may terminate your account at any time, subject to outstanding obligations.
11. Disclaimer of Warranties
The Services are provided “as is” and “as available”.
We do not warrant that:
the Services will be uninterrupted or error-free;
the Services will meet your specific business requirements.
12. Limitation of Liability
To the maximum extent permitted by law, TopVIPShop shall not be liable for:
indirect, incidental, or consequential damages;
loss of profits, data, or business opportunities.
Our total liability shall not exceed the amount paid by you to TopVIPShop in the preceding 12 months.
13. Indemnification
You agree to indemnify and hold harmless TopVIPShop from any claims, damages, or losses arising out of:
your misuse of the Services;
your violation of applicable laws;
disputes between you and your customers.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to conflict of law principles.

Continued use of the Services constitutes acceptance of the updated Terms.
